1. Agreement
These Terms & Conditions ("Terms") form a binding agreement between you ("you", "user") and Production Deck ("we", "us", "our") and govern your access to and use of the Production Deck website, applications and services (the "Service"). By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 16 years old to use the Service. By using the Service you represent that you have the legal capacity to enter into these Terms and, if using the Service on behalf of an organisation, that you have authority to bind that organisation.
3. Accounts and security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account. We reserve the right to suspend or terminate accounts that show signs of compromise, fraud or violation of these Terms.
4. Subscriptions, billing and refunds
- The Service is offered on a subscription basis at the prices listed on our Pricing page.
- Subscription fees are billed in advance on a recurring basis (monthly or yearly) and are non-refundable except where required by law.
- You may cancel your subscription at any time via the billing portal. Cancellation takes effect at the end of the current billing period.
- We may change pricing with at least 30 days' notice; changes take effect on your next renewal.
- Failure to pay may result in suspension of your account.
5. Plan limits
Each plan has a maximum number of active projects and collaborators. If you exceed your plan limit you will be unable to create new projects until you delete existing projects or upgrade. Soft-deleted projects continue to count against your limit until they are permanently purged.
6. Your content
You retain all rights to the projects, scripts, documents, images and other content you upload or create through the Service ("Your Content"). You grant us a limited, non-exclusive, worldwide licence to host, store, process, transmit, display and back up Your Content solely for the purpose of operating and providing the Service to you and the collaborators you invite.
You represent that you own or have the necessary rights to upload Your Content and that it does not infringe any third-party rights or violate any law.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful, infringing, harmful or fraudulent purpose;
- Upload malware, viruses or any code designed to disrupt the Service;
- Attempt to gain unauthorised access to the Service or other users' accounts;
- Reverse engineer, scrape, decompile or otherwise misuse the Service;
- Resell, sublicense or commercially exploit the Service without our written consent;
- Upload content that is defamatory, obscene, harassing or that infringes intellectual property rights.
8. Collaboration
You may invite collaborators and workspace members to your projects. You are responsible for the actions of users you invite and for ensuring they comply with these Terms. Collaborators may view, edit or contribute to Your Content according to the permissions you grant them.
9. Intellectual property
The Service, including its software, design, branding and documentation, is owned by us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to access and use the Service in accordance with these Terms. All rights not expressly granted are reserved.
10. Service availability
We aim to keep the Service available 24/7 but do not guarantee uninterrupted access. We may perform scheduled maintenance, updates or emergency interventions which may temporarily affect availability. We are not liable for downtime caused by third-party providers, network issues or circumstances beyond our reasonable control.
11. Termination
You may terminate your account at any time via Account Settings. We may suspend or terminate your access to the Service if you breach these Terms, fail to pay fees, or create risk or legal exposure for us. On termination, your access to the Service ends and Your Content will be deleted in line with our Privacy Policy, subject to legal retention requirements.
12. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, secure or uninterrupted.
13. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data, goodwill or business opportunity, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising from these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) £100.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or any other liability that cannot be excluded by law.
14. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses or expenses (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law, or your infringement of any third-party rights.
15. Changes to the Service or Terms
We may modify or discontinue features of the Service at any time. We may also update these Terms from time to time. Material changes will be communicated via the Service or by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
16. Governing law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, except where local consumer law grants you the right to bring proceedings in your country of residence.
